Part A · Using this website
1About these terms
This website is run by Corevanta Advisory Ltd (“Corevanta”, “we”, “us”), a private limited company registered in England and Wales, company number 17338483, registered office First Floor, Office R06, 35 Haymarket, London SW1Y 4HA. Email corevantaadvisory@outlook.com, telephone +44 7880 316964.
By using this website you accept Part A of these terms. Part B applies when you engage us to provide services.
2Using the site
You’re welcome to use this website to find out about us and to get in touch. Please don’t misuse it: don’t try to gain unauthorised access, interfere with how it works, introduce malicious code, or copy it in bulk by automated means. We may change, suspend or withdraw the site at any time.
You may view and print pages for your own use and share links to them; please ask us before reusing anything else.
4Information on this site
What we publish here describes our services in general terms. It isn’t advice for your particular situation, and it isn’t an offer: the terms of any engagement are those in your written proposal. Examples on the site, such as the issue tree on our services page, are illustrative. We do our best to keep the site accurate and up to date, but we can’t promise it’s free of errors.
5Links to other websites
Where we link to other websites — a map service, the public register at Companies House or the ICO, for example — we do so for your information only. We’re not responsible for their content or their privacy practices.
6Our liability for the website
The website is provided free of charge and as it is. As far as the law allows, we’re not liable for loss arising from your use of it, from relying on its content, or from any interruption or error. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn’t allow us to limit.
Part B · Working with us
7How engagements work
A first conversation is free and commits neither of us to anything. If we agree to work together, we send you a written proposal describing the question we’ll answer, the scope, the deliverables, the timetable, the people involved, the fee and any assumptions. The contract between us begins when you accept the proposal in writing — an email is enough — or ask us to start.
Each engagement is governed by its proposal, these terms and any separate agreement we sign with you, such as a non-disclosure or data processing agreement. If they conflict, a signed agreement takes priority, then the proposal, then these terms.
8Fees and proposals
Proposals are valid for 30 days. Fees are in pounds sterling unless the proposal says otherwise, and exclude VAT, which we add where it applies.
Core Review and design work are priced as a fixed fee for the agreed scope.
Delivery support is priced as a fixed monthly fee for an agreed number of days, or per stage.
Board advisory is a monthly retainer, which either of us can end on one month’s written notice.
Reasonable travel within London is included. Other travel and expenses are agreed in advance and charged at cost.
9Payment
Unless the proposal says otherwise, we invoice fixed-fee work in two parts — half on acceptance and half on delivery — and monthly work at the start of each month. Invoices are payable within 30 days.
If a business client pays late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may pause work until the account is up to date.
10Changes, pausing and ending
Changes. If you want to change the scope, we’ll set out the effect on the fee and timetable before we make the change. Work outside the agreed scope is never charged unless you’ve approved it in writing.
Pausing. If an engagement has to pause on your side for more than four weeks, we’ll agree a new timetable with you; we may need to adjust the team or the fee to restart.
Ending an engagement. You can end an engagement at any time by telling us in writing. You pay for the work done up to that point, including a fair share of any stage in progress, and you receive everything we’ve produced so far. We can end an engagement on written notice if invoices remain unpaid after a reminder, or if continuing would require us to act unlawfully or unethically.
If you’re a consumer
If you’re buying services as an individual rather than for a business, and the contract is made at a distance — by email, phone or online — you can cancel within 14 days of the day the contract is made, without giving a reason. If you ask us to start within those 14 days and then cancel, you pay for the work done up to the time you tell us. Once the work has been completed with your agreement, the right to cancel ends. To cancel, email corevantaadvisory@outlook.com or write to us.
11What we need from you
Good advice depends on good access. You agree to name a sponsor for each engagement, to give us timely access to the people, information and premises the work needs, and to make decisions in time for the agreed timetable. You’re responsible for having the right to share the information you give us, including any personal data.
Our conclusions rely on the information we’re given. We test what we can and tell you what we couldn’t verify, but we aren’t responsible for errors in information supplied to us. If delays or changes on your side affect the timetable or the fee, we’ll tell you as soon as we know.
12The nature of our advice
We’re management consultants. Our recommendations are our professional opinion at the time we give them, based on the information available. Decisions about your business, and their implementation, remain yours — including when we support delivery or provide interim leadership, where we act under your direction.
We don’t provide legal, tax, accounting, audit, investment or other regulated financial advice, and we aren’t authorised by the Financial Conduct Authority. When a question needs that expertise, we’ll say so and can work alongside your own advisers.
Our advice is independent: we don’t take commissions or referral fees from suppliers we may recommend.
13Intellectual property
Once you’ve paid in full for an engagement, you own the reports, plans, presentations and other deliverables we create specifically for you, and may use, adapt and share them within your organisation and with your advisers as you wish.
We keep ownership of our methods, frameworks, templates, tools and know-how, including those used to produce your deliverables, and give you a perpetual, royalty-free licence to use them as built into your deliverables. We may reuse general learning from our work, but never in a way that identifies you or reveals your confidential information.
We’ll only name your organisation as a client, or describe our work for you, with your permission.
14Confidentiality and data protection
We keep confidential everything you share with us that isn’t public, use it only for the engagement, and require the same of any associate who works with us. These obligations continue after the engagement ends. We’ll sign a non-disclosure agreement on request.
We handle personal data as described in our privacy policy. When we process personal data on your behalf, we do so as your processor under a data processing agreement.
15Our people and yours
The senior people named in a proposal lead the engagement. If someone has to be replaced, we’ll tell you and agree a replacement of equal experience. We may involve trusted associates, who are bound by the same confidentiality terms; we remain responsible for their work.
During an engagement and for six months after it, neither of us will directly solicit the other’s staff who worked on it, without the other’s agreement. Responding to a public job advertisement isn’t soliciting.
16Our liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law doesn’t allow us to limit.
Business clients. Subject to that, our total liability arising from an engagement — in contract, negligence or otherwise — is limited to the fees paid for that engagement in the twelve months before the claim arose. We aren’t liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.
Consumers. If you’re a consumer, we’re responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We provide our services for business purposes, so we’re not liable to a consumer for business losses.
17Complaints
If you’re unhappy with any part of our work, please tell the engagement lead or email corevantaadvisory@outlook.com. We’ll acknowledge your complaint within two working days and aim to resolve it within 14 days, explaining what we found and what we’ll do.
18General
Neither of us is responsible for delays caused by events outside our reasonable control; we’ll tell each other promptly and agree how to proceed.
You may not transfer your rights under a contract without our agreement. We won’t transfer ours without telling you.
Nobody other than the parties has rights under a contract with us, under the Contracts (Rights of Third Parties) Act 1999.
If any part of these terms is found unenforceable, the rest stays in force.
Notices may be given by email to the addresses we’ve used for the engagement.
We may update these terms from time to time. The version in force when you accept a proposal applies to that engagement.
19Law and courts
These terms, and any contract between us, are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you’re a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
